We refer to our announcements on 6 September 2019, 17 June 2021, 18 June 2021 and 25 October 2021 pertaining to the announcements made by Captii, our subsidiary listed on the SGX, to the SGX in relation to the suit HC/S 885/2019 in the High Court of the Republic of Singapore (“Suit”) filed by OOPA against Mr Bui.

Pursuant to paragraph 9.19(40) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities"), we wish to inform Bursa Securities that Captii, had on 7 December 2021 released an announcement to the SGX that completion of the deed of settlement (“Deed”) had taken place on 7 December 2021 (“Closing Date”).

Concurrent with the completion of the Deed, Mr Bui, together with his co-founders at OOPA (who subsequently joined him in Telio Pte. Ltd.), had transferred all their shares to all the other shareholders in OOPA including Captii Ventures Pte. Ltd. (“Captii Ventures”), a wholly-owned subsidiary of Captii, and Strategic Research & Consultancy Sdn Bhd (“SRC”), a wholly-own subsidiary of ASB. Accordingly, Captii Ventures and SRC hold a fully diluted interest of 54.7% and 5.75% in OOPA respectively and OOPA has become an indirect subsidiary of Captii held via Captii Ventures and an indirect subsidiary of ASB held via Captii and SRC as of the Closing Date.   

Captii also announced that Mr. Bui has formally withdrawn his Appeal on 7 December 2021.
